Contract Templates

Create reusable contract templates with locked legal clauses and negotiable sections.

Templates let your legal team pre-approve the standard structure of each contract type. Locked sections protect core clauses; negotiable sections can be edited per deal.

Creating a Template

Go to Contracts > Templates > New Template.

  1. Name the template (e.g., "Standard SaaS MSA")
  2. Assign a contract type
  3. Build the content in the editor

Template Sections

Each section in a template can be marked with one of three modes:

RequiredMust be filled in before the contract can be sent — used for placeholder fields like {{effective_date}}

Variable Placeholders

Insert variables that auto-fill from contract data at creation time:

  • {{counterparty_name}}
  • {{effective_date}}
  • {{expiry_date}}
  • {{contract_value}}
  • {{owner_name}}
  • {{custom_field.X}}

Variables appear as highlighted fields in the editor so users know what to fill in.

Clause Library

Save individual paragraphs to the Clause Library. Insert standard clauses — for example, "Confidentiality" or "GDPR Data Processing Addendum" — into any template with a single click.

Use the Clause Library to:

  • Maintain a single approved version of recurring clauses
  • Insert jurisdiction-specific language quickly
  • Keep compliance clauses consistent across template types

Version Control

Templates are versioned automatically. When you update a template:

  • Existing contracts are not affected — they used the version at creation time
  • New contracts get the latest version
  • Version history is visible on the template record

Permissions

Changing a template does not update contracts already created from it. If you correct a legal error in a template, audit existing contracts manually to see if they need amendment.
