Contract Templates
Create reusable contract templates with locked legal clauses and negotiable sections.
Templates let your legal team pre-approve the standard structure of each contract type. Locked sections protect core clauses; negotiable sections can be edited per deal.
Creating a Template
Go to Contracts > Templates > New Template.
- Name the template (e.g., "Standard SaaS MSA")
- Assign a contract type
- Build the content in the editor
Template Sections
Each section in a template can be marked with one of three modes:
| Mode | Behavior |
|---|---|
| Locked | Non-editable — for boilerplate legal language, liability clauses, and jurisdiction text |
| Negotiable | Editable within the template structure — for pricing, term length, and custom terms |
| Required | Must be filled in before the contract can be sent — used for placeholder fields like {{effective_date}} |
Variable Placeholders
Insert variables that auto-fill from contract data at creation time:
{{counterparty_name}}{{effective_date}}{{expiry_date}}{{contract_value}}{{owner_name}}{{custom_field.X}}
Variables appear as highlighted fields in the editor so users know what to fill in.
Clause Library
Save individual paragraphs to the Clause Library. Insert standard clauses — for example, "Confidentiality" or "GDPR Data Processing Addendum" — into any template with a single click.
Use the Clause Library to:
- Maintain a single approved version of recurring clauses
- Insert jurisdiction-specific language quickly
- Keep compliance clauses consistent across template types
Version Control
Templates are versioned automatically. When you update a template:
- Existing contracts are not affected — they used the version at creation time
- New contracts get the latest version
- Version history is visible on the template record
Permissions
| Role | What they can do |
|---|---|
| Workspace Admin | Create, edit, and delete templates |
| Contracts Admin | Create, edit, and delete templates |
| Assigned users | Create, edit, and delete templates (explicitly granted) |
| Standard users | Create contracts from templates; cannot modify template structure |
Changing a template does not update contracts already created from it. If you correct a legal error in a template, audit existing contracts manually to see if they need amendment.
